Prism, the parent company of hospitality platform OYO, now earns nearly 84 per cent of its operating revenue from international markets, reflecting the company's aggressive global expansion strategy, according to its updated draft offer document filed with the Securities and Exchange Board of India (SEBI).
The company has submitted an Updated Draft Red Herring Prospectus (UDRHP) to SEBI for its proposed initial public offering (IPO), which aims to raise up to Rs 6,650 crore through a fresh issue of shares. Prism may also undertake a pre-IPO placement of up to Rs 1,330 crore, which will be adjusted against the final issue size.
The filing highlights the company's transformation from an India-focused budget hotel aggregator into a diversified global hospitality platform operating across multiple markets and accommodation formats.
According to the UDRHP, Prism recorded a Gross Booking Value (GBV) of Rs 22,946.25 crore during the nine months ended December 31, 2025. GBV represents the total value of bookings made across the company's hotels, holiday homes and listing platforms and serves as a key indicator of its business scale.
The United States emerged as the largest contributor to bookings, generating GBV of Rs 12,022.51 crore, accounting for 52.39 per cent of the global total. Europe contributed Rs 4,039.11 crore, or 17.60 per cent, while India accounted for Rs 2,731.71 crore, representing 11.91 per cent. The remaining bookings came from Southeast Asia and other international markets.
Prism reported revenue from operations of Rs 6,940.97 crore during the same nine-month period. International operations contributed 83.77 per cent of total revenue, while India accounted for 16.23 per cent.
Among overseas markets, the United States generated 27.07 per cent of operating revenue, followed by Europe with 23.62 per cent and the United Kingdom with 5.44 per cent.
The company attributed the growing contribution from overseas operations largely to its acquisition of G6 Hospitality, the owner of the Motel 6 and Studio 6 brands across North America. In Europe, Prism operates several hospitality brands, including Belvilla, Dancenter, CheckMyGuest and Direct Booker.
As of December 31, 2025, Prism's global network comprised 293,554 storefronts across more than 35 countries. This included 24,303 hotel properties, 124,668 holiday homes and 144,583 listings.
For the nine months ended December 31, 2025, the company reported a net profit of Rs 748 crore. In comparison, it had posted a profit of Rs 245 crore during the previous financial year.

Prism plans to use approximately Rs 4,987.5 crore from the IPO proceeds to repay or prepay outstanding borrowings. The proposed public issue consists entirely of a fresh issue of shares, with existing investors—including SoftBank, Microsoft, Airbnb, Khazanah, Peak XV, Lightspeed and other shareholders—not participating through an offer for sale.
